Public Offer

1. General Provisions

This document is a public offer by Individual Entrepreneur Orest Mykolaiovych Kostiuk (the “Provider”) to enter into an agreement for use of the DLoly digital service with an individual or legal entity that accepts this Offer (the “User”).

The Service is available at dloly.bitbrothers.dev. The Ukrainian version of this Offer is legally controlling. The English version is its translation.

2. Definitions

• Service means the DLoly website, software, and API for creating, managing, and analyzing links.

• User means a person who has registered an account or actually uses the Service.

• Short Link means a short URL created by a User in the Service that redirects to an address or path selected by that User.

• Application (App) means a workspace created by a User with link, domain, mobile-platform, and API settings.

• End Visitor means a person who follows a Short Link or scans its related QR code.

• Plan means a free or paid set of Service functions, access level, and limits described on the /pricing page.

• Paid Feature means a function or extended level of access made available to the User under a paid Plan.

3. Subject of the Agreement

The Provider gives the User access to the digital Service to create and manage short links and QR codes, configure deep links, iOS Universal Links and Android App Links, connect custom domains, review click analytics, and work through the API.

The Service is a technical redirect and analytics tool. The Provider does not create, endorse, or control the content of websites, pages, or applications to which a User's Short Links lead.

4. Acceptance of the Offer

Under Articles 638, 641, and 642 of the Civil Code of Ukraine, this Offer contains the terms of the agreement. For the free Plan, registering an account or actually using the Service constitutes full and unconditional acceptance of the Offer. For paid services, successful payment for the selected Plan or Paid Feature constitutes full and unconditional acceptance.

By accepting the Offer, the User confirms that the User has the necessary legal capacity and authority, has read and understood this Offer, the /pricing page, and the Privacy Policy, and agrees to comply with them. The agreement is concluded electronically without a paper copy.

5. Plans

DLoly offers a free Plan and may offer paid Plans. The current set of functions, availability status, and applicable terms are published at dloly.bitbrothers.dev/pricing and may also be shown in the Service interface.

The free Plan is provided at no charge within its published functions and limits. Paid Plans provide functions or an extended level of access at the tariffs published on the /pricing page. If a paid Plan does not yet have a published price and purchase option, it is not considered available for purchase.

The Provider may change the composition and terms of Plans for the future. Such changes do not retroactively alter an already paid period or scope of access unless otherwise expressly agreed with the User or required by law.

6. Price and Payment

The price of a paid Plan or Paid Feature is stated in Ukrainian hryvnias and shown to the User before payment is confirmed. The billing period, scope of access, and other material terms of the purchase are also shown before payment.

Payment is made through the payment provider identified on the checkout page at the time of payment. A payment is successful after confirmation by that provider and display of the corresponding status in the Service. The Provider does not charge funds or activate a paid service without an action by the User that clearly confirms the purchase on the terms shown.

7. Refunds

The User may request a refund before actually using the purchased Paid Feature. To do so, the User must write to kostiuk.orest.m@gmail.com from the account e-mail and state the date, amount, purchased Plan or feature, and available payment identifier.

A request is reviewed on business days, usually within 3 business days. If a refund is approved, it is processed through the payment provider to the same payment method used for the purchase; the actual crediting time depends on the provider, bank, and payment system.

After a Paid Feature has actually been used, the availability and amount of a refund are determined with regard to the access already provided, the circumstances of the request, and the requirements of Ukrainian law. This clause does not limit consumer rights that cannot be restricted by contract.

8. Account and User Obligations

The User must provide accurate data, protect passwords and API keys, avoid giving access to unauthorized persons, and report suspected account compromise.

The User independently checks destination addresses, domain settings, Universal Links, Android App Links, and mobile schemes. The User must have all rights and legal grounds needed for the materials and data added to the Service.

9. Content and Lawful Destinations

The User is solely responsible for the content, legality, availability, and security of websites, applications, and other resources reached through the User's links, as well as for communications, advertising, and campaigns in which those links are used.

Users must not direct End Visitors to malware, phishing pages, deceptive forms, illegal content, or resources that infringe the rights of others. The Service must not be used for spam or messages sent without the recipient's proper consent.

10. Prohibited Actions

It is prohibited to bypass authentication, Plan limits, or security controls; interfere with the Service; conduct attacks, excessive automated load, or unauthorized scanning; access another person's account or data; conceal an illegal destination; infringe intellectual property, privacy, or other rights; or use the Service for fraud, spam, phishing, malware distribution, or any other unlawful activity.

11. Service Availability and Limits

The Service is provided “as is” and “as available” to the extent permitted by law. The Provider takes reasonable measures to keep redirects operating but does not guarantee uninterrupted or error-free availability, continued availability of a particular domain, compatibility with every browser or mobile platform, or unchanged rules of third-party services.

The Provider may temporarily restrict operation for maintenance, security, or error correction. A link or account may be suspended or disabled where there is a reasonable suspicion of abuse, breach of these Terms, harm to End Visitors, a threat to the Service, or a legal requirement.

12. Intellectual Property

Rights in DLoly's software code, design, name, and other elements belong to the Provider or the relevant rights holders. These Terms grant the User only a limited right to use the Service's functions for their intended purpose.

The User retains rights in the User's own materials and grants the Provider the right to process them technically only to the extent necessary to operate the selected functions.

13. Liability

The parties are liable for breach of the agreement under Ukrainian law. The User is responsible for the User's links, destinations, materials, lawfulness of messages, and actions of persons to whom the User gave account access or API keys.

To the extent permitted by law, the Provider is not liable for indirect losses, lost profit, loss of data on an external resource, acts of a User or End Visitor, or changes to or unavailability of external websites, domain services, app stores, operating systems, or networks. This clause does not limit liability that the law expressly prohibits from being excluded.

14. Requests, Complaints, and Disputes

Requests and complaints concerning DLoly should be sent to kostiuk.orest.m@gmail.com. The request should state the account e-mail, short code or domain, expected and actual result, and other information needed for investigation. Requests are handled on business days, usually within 3 business days.

The parties will first try to resolve a dispute through negotiation. If that is not possible, the dispute will be resolved under the laws of Ukraine.

15. Term, Changes, and Provider Details

The Offer takes effect when published. The Provider may amend it by publishing the current version on this page. Continued use after an amendment takes effect constitutes acceptance of the updated Offer. A User who disagrees with an amendment must stop using the Service and must not initiate new payments.
